DISCOUNT EVENT FAIR (DEF) — TERMS OF SERVICE

By accessing or using the Discount Event Fair (“DEF,” “we,” “us,” or “our”) website or services (“Site”), you agree to be bound by these Terms of Service and all applicable federal, state, and local laws of the United States. If you do not agree to these Terms, you must discontinue use of the Site immediately.

We reserve the right to update or modify these Terms at any time. Continued use of the Site constitutes acceptance of the revised Terms.

1. Agreement to Terms

By accessing or using the Site, you represent and warrant that you agree to all conditions outlined herein.

2. Platform Eligibility & Accounts

To use certain features of the Site or register as a vendor, you must:

  • Be at least 18 years old.
  • Have the legal authority to enter into binding agreements.
  • Provide accurate, current, and complete registration information.
  • Maintain the confidentiality of your login credentials.
  • Accept full responsibility for all activities under your account.

Account Suspension or Termination

We may suspend or terminate accounts that:

  • Provide false information.
  • Engage in fraudulent or abusive behavior.
  • Violate these Terms or applicable laws.
  • Misuse the platform or disrupt other users.

3. Prohibited Activities

Users and vendors agree not to:

  • Engage in fraud, impersonation, or misrepresentation.
  • Upload harmful files, malware, or unauthorized scripts.
  • Harass, threaten, or abuse other users.
  • Interfere with the Site’s functionality.
  • Use the Site for unauthorized commercial purposes.
  • Circumvent payment systems or attempt chargeback fraud.

Violation may result in immediate account termination and legal action.

4. Vendor Exhibition & Booth Bookings

Vendors booking exhibition spaces agree to the following:

Booth Allocation

  • Booth size, pricing, and placement are determined by the selected Booth Package.
  • Final booth assignment is subject to approval and payment verification.
  • DEF reserves the right to reassign booth locations if necessary.

Payments

  • Booth fees must be paid in full via Stripe or verified Zelle transfer using the correct memo code.
  • Registrations without cleared payments may be canceled.

Refund & Cancellation Policy

  • All booth bookings are final and non‑refundable.
  • No refunds for vendor cancellations, no‑shows, or inability to attend.
  • If DEF cancels the event due to reasons within our direct control, a refund may be issued.
  • If the event is canceled, delayed, or postponed due to Force Majeure (including severe weather, natural disasters, venue failures, strikes, government restrictions, or emergencies), bookings automatically transfer to the rescheduled date.
  • DEF is not responsible for vendor travel, logistics, or financial losses.

Vendor Conduct

Vendors must:

  • Display services consistent with their registered category.
  • Follow setup and teardown schedules.
  • Comply with venue safety, fire, and electrical regulations.
  • Maintain a clean and professional booth.
  • Avoid excessive noise or disruptive behavior.

Booth & Venue Responsibility

  • Vendors are responsible for any damage caused to booth structures, equipment, or venue property.
  • DEF is not responsible for lost, stolen, or damaged vendor items.

5. Payments & Financial Transactions

  • All payments processed through Stripe are encrypted and PCI‑compliant.
  • Zelle transfers must include the correct memo code for verification.
  • Vendors authorize DEF to charge their selected payment method.
  • Vendors are responsible for any bank fees, transfer charges, or payment disputes.
  • Chargebacks or disputed payments may result in automatic booth cancellation.

All payments are processed in U.S. Dollars (USD) unless otherwise stated.

6. Intellectual Property Rights

  • All Site content (design, text, graphics, logos) is owned by DEF or its licensors and protected under U.S. and international copyright laws.
  • Vendors retain ownership of their uploaded logos, images, and business materials.
  • Vendors grant DEF a non‑exclusive, worldwide, royalty‑free license to display their content for promotional purposes related to the event.

License Duration

This license remains active while the vendor profile is live. Vendors may revoke the license by deleting their content or closing their account, except for materials already used in published promotional content.

7. User‑Generated Content

Users agree that:

  • Uploaded content must not infringe on third‑party rights.
  • DEF may remove content that violates these Terms.
  • DEF is not responsible for user-submitted content.

8. Limitation of Liability

To the fullest extent permitted by U.S. law:

  • DEF, its organizers, directors, and partners are not liable for indirect, incidental, special, consequential, or punitive damages.
  • DEF is not responsible for vendor sales performance, customer turnout, or business outcomes.
  • Vendors exhibit at their own risk.
  • DEF is not liable for theft, loss, or damage to vendor property.
  • DEF is not liable for cancellations caused by Force Majeure events.

9. Indemnification

You agree to indemnify and hold harmless DEF, its organizers, employees, and partners from any claims, damages, losses, or expenses arising from your use of the Site, participation as a vendor, violation of these Terms, or infringement of third‑party rights.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the United States and the specific U.S. state in which the event is hosted.

Dispute Resolution

Before filing a legal claim, both parties agree to attempt resolution through:

  1. Good‑faith negotiation, then
  2. Mediation or arbitration, if necessary

Legal actions must be filed in the state or federal courts located in the event’s operating jurisdiction.

11. Privacy Policy

Use of the Site is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

12. Cookies & Tracking

The Site may use cookies, analytics tools, and tracking technologies to improve user experience. By using the Site, you consent to such tracking.
